Structured financing

  • Cargill | AHMSA. Represented Cargill Financial Services International in a US$575 million financing package provided to one of Mexico's largest steel producers. The financing consists of an advance on accounts receivable and a master reporting agreement, which will be used to repay existing creditors. A Mexican security package was also implemented to secure the loans.
  • Coventure. Represented the Coventure fund in a warehouse financing for UDS$50 million to a SAPI de CV dedicated to consolidate debt.  
  • CrediJusto. Represented Mexican finance company CediJusto, as borrower, in a $50 million Goldman Sachs secured structured loan.
  • DPR of Nueva Elektra del Milenio. Advised BCP Securities and Jefferies LLC as initial purchasers of Senior Secured Notes originated by Nueva Elektra del Milenio, S.A. de C.V. (remittances) and issued by a trust located in Luxembourg under Rule 144A and Regulation S of the Securities Act of the United States of America of 1933 in the principal amount of USD$350 million.    
  • Goldman Sachs | Kavak. Represents Goldman Sachs, as lender, in a credit facility to be granted to Mexican used car dealer and fintech company, Kavak. The transaction will involve the creation of a special purpose vehicle that will hold the inventory assigned by Kavak as a source of payment for the financing. For this transaction, in-depth due diligence was conducted on regulatory matters, including financial services, consumer and personal data protection, as well as anti-corruption.
  • Goldman Sachs | Konfio. Represented Goldman Sachs Bank USA as lender and administrative agent in a $50 million senior secured revolving credit facility to Red Amigo DAL, S.A.P.I. de C.V., SOFOM, E.N.R. (Konfio), a Mexican financial services platform for small and medium-sized companies.
  • Goldman Sachs | DiDi. Represented Goldman Sachs Bank USA as lender and administrative agent in a senior secured revolving credit facility to DiDi.
  • Goldman Sachs | Mercado Libre. Represented Goldman Sachs Bank USA as lender and administrative and arranging agent in a $125 million senior secured revolving credit facility for Mercado Lending, S.A. de C.V. (Mercado Crédito). Mercado Crédito is a FinTech unit of MercadoLibre that offers credit to its parent company's customers, as well as to users of its online payment platform, Mercado Pago.
  • Goldman Sachs | NuBank. Represented Goldman Sachs Bank USA as lender and administrative agent on a senior secured revolving credit facility to NuBank.
  • Goldman Sachs | Xepelin. Represented Goldman Sachs Bank USA as lender and administrative agent in a senior secured revolving credit facility to the Chilean company Xepelin dedicated to factoaje via its electronic platform.
  • NOMURA. Represents Nomura in various second-lien loans to Mexican SOFOMES that in turn lend to various Pemex suppliers where the source of payment is the collection rights of the contracts entered into with Pemex.  
  • PNC Bank | Vitro. Represented PNC Bank in a private securitization of accounts receivable originated by the Vitro group of companies.  
  • Represented Rabobank in a loan secured by an inventory deposit certificate.
  • Santander. Represents Santander in a securitization of an automotive loan portfolio.

Infrastructure

  • Banobras. Represented Banobras in the design and implementation of a USD$8,000,000 loan in favor of Prodemex, a concessionaire that is developing a hospital for the Instituto de Seguridad y Servicios Sociales de los Trabajadores del Estado, for the purpose of financing the payment of the Value Added Tax (VAT) that would be refunded at the end of the works because the hospital (infrastructure) qualifies for the VAT refund.
  • BBVA Andares. 150 MDD Refinancing of the Andares Shopping Center in Guadalajara. Syndicated loan granted by our client BBVA Bancomer, S.A., together with Citbanamex and Santander in favor of Desarrolladora Mexicana de Inmuebles, S.A. de C.V. known as "DMI".
  • CET Istmo. Advised China Electric Power Equipment and Technology, Co, Ltd. (CET), a wholly owned subsidiary of State Grid Corporation of China, in its participation in the public auction held by CFE Transmission, a subsidiary of the Federal Electricity Commission (CFE) of Mexico, for the award of a service contract for the construction, operation and maintenance of a high-voltage direct current (HVDC) transmission line (the first in Mexico), with an approximate investment of US$1.7 billion, which will transport clean energy in the states of Oaxaca, Morelos, State of Mexico, Veracruz, Puebla, Puebla and Mexico City.700 million dollars, which will transport clean energy in the states of Oaxaca, Morelos, Estado de México, Veracruz, Puebla and Mexico City in Mexico.
  • Peñoles. Peñoles Self-Supply Project (TEG II). Advised Peñoles in connection with the refinancing of the construction, operation and maintenance of the 200 MW TEGII petroleum coke-based self-supply plant, sponsored by Alstom and Sithe Power for US$450 million.
  • Pinfra. Represented Promotora y Operadora de Infraestructura, S.A.B. de C.V. (Pinfra) and Grupo Concesionario de México, S.A. de C.V. and as shareholders of Concesionaria Monterrey Nuevo Laredo, S.A. de C.V. (a subsidiary of Pinfra) in the sale of 20% of their joint interest in the capital stock of Concesionaria Monterrey Nuevo Laredo, S.A. de C.V. The investors that acquired 20% of the capital stock of Concesionaria Monterrey Nuevo Laredo, S.A. de C.V. were the private equity fund of AINDA Energía & Infraestructura, S.A.P.I. de C.V. identified as Fideicomiso Ainda, Energía & Infraestructura managed by Banco Invex, S.A.
